Service Agreement

This agreement is between Benjamin Xerri (the "Client") and Harry Hudson (the "Videographer").

The agreement is dated 28/02/2022.

1. WORK AND PAYMENT.

1.1 Project. The Client is hiring the Videographer to do the following: Direct, shoot and edit a music video.

1.2 Schedule. The Videographer will begin work on an agreed date and will continue until the work is completed.

1.3 Payment. The Client will pay the Videographer a rate of €650 (EUR). Of this, the Client will pay the Videographer a 50% down payment of €375 (EUR) before work begins.

Travel expenses such as parking, shipping, or destination fees which in this case total €50, must be reimbursed to the Videographer and will be added to the balance due after the event. Clients are responsible for all location fees and permits.

1.4 Deliverables. The Client will receive the following deliverables: 1x Music Video, 1x Teaser

1.5 Invoices. The Videographer will invoice the Client at the end of the project. The Client agrees to pay the amount owed within 30 days of receiving the invoice. Payment after that date will incur a late fee of 2.5% per month on the outstanding amount. 

2. OWNERSHIP AND LICENSES.

2.1 Client owns all work product. Upon completion of the Services and full payment of all invoices, the Videographer shall assign rights to the Client. This means the Videographer is giving the Client all of its rights, and the Client will be the sole owner of it. The Client can use the work product however it wants or it can decide not to use the work product at all. The Client, for example, can modify, destroy, or sell it, as it sees fit. 

2.2 Videographer's use of work product. Once the Videographer gives the work product to the Client, the Videographer does not have any rights to it, except permission to use the work product as part of portfolios and websites, in galleries, and in other media, so long as it is to showcase the work and not for any other purpose. The Client does not give permission to sell or otherwise use the work product to make money or for any other commercial use.

3. CANCELLATION.

Either party has the right to terminate this agreement at any point.

Should the agreement be terminated by the Videographer:

– The Videographer will immediately provide Client with any and all work in progress or completed prior to the termination date.

– The initial 50% down payment is fully returned to Client.

Should the agreement be terminated by the Client:

– The Videographer will immediately provide Client with any and all work in progress or completed prior to the termination date.

– The initial 50% down payment is non-refundable but can be transferred to a future project.
